Terms and Conditions of Use

• —These Terms and Conditions (“Terms”) govern your access to and use of the Prime Polymers website, applications and services (together, the “Platform”).
• —The Platform is operated by ARC Polymers Ltd, a company registered in England and Wales under company number 14721269, whose registered office is at 1st Floor, 8 Bridle Close, Kingston upon Thames KT1 2JW (“we”, “us”, “our” or “Prime Polymers”).
• —By registering for, accessing or using the Platform you agree to be bound by these Terms. If you do not agree, you must not use the Platform. If you use the Platform on behalf of a business, you confirm you have authority to bind that business, and “you” means that business.
• —The Platform is intended for use by businesses and trade professionals only. It is not intended for consumers, and nothing on it is offered to consumers.
• —In these Terms: a “Seller” means a user who lists, offers or advertises polymer materials or goods for sale on the Platform (whether by a Listing or otherwise); a “Buyer” means a user who seeks, enquires about, or agrees to purchase such goods (whether by a Wanted post, an enquiry, or otherwise); and “User” means any person who accesses or uses the Platform, including any Seller and any Buyer. A user may act as both a Seller and a Buyer at different times, and the obligations of each role apply to them accordingly. References to “you” mean you in whichever role or roles you are acting.
• —The Platform introduces Sellers and Buyers to one another. It does not buy, sell, own, supply or acquire any goods itself.

This clause 2 is fundamental to these Terms and to the basis on which the Platform is provided. You acknowledge and agree that:

• —The Platform is a venue for advertising and introductions only. It allows users to publish listings of polymer materials they wish to sell (“Listings”), to publish requirements for materials they wish to buy (“Wanted posts”), and, where they hold membership, to contact one another.
• —Every Listing, Wanted post and price on the Platform is an invitation to treat only. It is not an offer capable of acceptance. No contract for the sale or purchase of any goods is formed on, through, or by means of the Platform.
• —We are not a party to any dealing, negotiation, agreement or contract between users. We are not a broker, not an agent, not a dealer, not a trustee and not an intermediary for any user, and we do not act on behalf of any buyer or seller.
• —Any contract for the supply of goods is formed directly between the buyer and the seller, off the Platform, on terms they agree between themselves. We are not privy to and take no responsibility for those terms.
• —We do not take possession, custody or control of any goods; we do not inspect, test, verify, warrant or guarantee any goods, their quality, grade, condition, quantity, description, fitness, safety, legality or title; and we do not handle, process, escrow or transmit any payment for goods between users.
• —Membership fees paid to us are consideration for access to the Platform and its features only (including messaging and AI matching). They are not consideration for any goods and do not make us a party to any trade.
• —We do not verify the identity, status, solvency, licences, or authority of users, and any “verified” or similar indicator (if shown) reflects only limited automated checks and is not a warranty by us. You deal with other users entirely at your own risk.

• —All content in Listings and Wanted posts — including descriptions, grades, conditions, quantities, locations, images and prices — is provided by users, not by us. Prices are set unilaterally by the posting user and are indicative only. We do not set, endorse, verify or benchmark any price.
• —Any market or price information the Platform displays (including any ticker or aggregate view) is derived from user-supplied Listings and is provided for general information only. It is not a valuation, benchmark, appraisal, financial promotion or advice, and must not be relied upon for any commercial or contractual purpose.
• —The Platform offers automated “matching” features that use artificial intelligence to suggest potentially relevant Listings or Wanted posts. These suggestions are automated, indicative and provided “as is”. They may be incomplete, inaccurate or unsuitable. They are not advice or a recommendation, and you must exercise your own judgement before acting on them.
• —You are solely responsible for verifying, independently and directly with the other user, all matters relevant to any potential dealing, including the material, its specification, price, availability, and the identity and standing of the counterparty.

• —Browsing, publishing Listings and publishing Wanted posts are free. Contacting other users (messaging) and the AI matching features require a paid membership.
• —Membership is charged at £13.99 per month, or such other price as we publish from time to time, billed in advance on a recurring basis via our payment processor. The price is inclusive of any UK VAT that applies. VAT is charged only to users in the United Kingdom; tax is determined automatically at checkout based on your location by our payment processor.
• —Membership renews automatically each month until cancelled. You may cancel at any time, effective at the end of the current billing period. Fees already paid are non-refundable save where required by law.
• —AI features are subject to fair-use limits which we may set and vary. We may suspend or limit AI features to protect the Platform from misuse or excessive cost.
• —Payments are processed by a third-party payment processor. We do not store your full card details. Your use of that processor may be subject to its own terms.

You warrant, represent and undertake that:

• —you have the right to sell, and good title to, any goods you list, and all information you post is accurate, complete and not misleading;
• —you will comply with all laws applicable to you and to any goods you list or trade, including export controls, sanctions, waste, environmental, product-safety and customs laws;
• —you will not use the Platform for any unlawful, fraudulent, misleading or abusive purpose, nor to trade any goods you are not lawfully entitled to trade;
• —you will not post any content that is false, defamatory, infringing, obscene, or that contains malware;
• —you will not misuse, scrape, copy, resell, reverse-engineer or overload the Platform, nor attempt to circumvent its security, membership or fee mechanisms;
• —you will deal fairly and in good faith with other users, and you will not use another user's information for any purpose other than a bona fide dealing arising from the Platform.
• —You are solely responsible for your Listings, Wanted posts, messages and conduct. We may remove content, and suspend or terminate accounts, at our discretion, including where we consider these Terms have been breached.

• —You are responsible for conducting your own due diligence before entering into any dealing with another user. This includes independently verifying, directly with the other user: the identity, standing and solvency of the counterparty; the existence, ownership, title, specification, grade, quality, quantity, condition, safety and legality of any goods; the price and payment terms; and delivery and any applicable import, export or customs requirements.
• —Each user is solely liable for any loss, cost, damage, claim or expense arising from or in connection with any trade or dealing they enter into with another user, whether that dealing arose through the Platform or otherwise. As between buyer and seller, all such risk rests with them and not with us.
• —We do not vet, verify, guarantee or endorse any user, any goods, or any information, and we give no assurance that any user will perform, pay, deliver, or deal honestly or lawfully. Any decision to trade is yours alone.

• —The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all warranties, conditions, representations and terms (whether express or implied by statute, common law or otherwise), including as to accuracy, quality, fitness for purpose, availability, or non-infringement.
• —Without limiting clause 2, we give no warranty and accept no responsibility in respect of: (a) any goods listed or traded; (b) the accuracy, legality or completeness of any user content, including prices; (c) the conduct, identity, solvency or performance of any user; (d) any dealing, contract, dispute, loss or non-payment between users; or (e) any AI-generated suggestion or match.
• —We do not warrant that the Platform will be uninterrupted, secure or error-free, or that defects will be corrected.

• —All risk in any dealing, negotiation or contract between users rests with the Buyer and Seller, and not with us. Any dispute arising between users — including as to goods, price, payment, delivery, quality or title — is a matter to be resolved solely between those Users. We are under no obligation to become involved, though we may (without obligation) provide limited information to assist resolution.
• —Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded.
• —Subject to the clause above, and to the fullest extent permitted by law, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any: (a) loss of profit, revenue, business, contracts, goodwill or anticipated savings; (b) loss arising from any dealing or contract (or failed dealing or contract) between users; (c) loss arising from reliance on any Listing, price, information or AI match; or (d) any indirect or consequential loss.
• —Subject to the two clauses above, our total aggregate liability to you arising out of or in connection with these Terms and your use of the Platform, whether in contract, tort or otherwise, shall in all circumstances be limited to the total membership fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

• —You agree to indemnify, defend and hold harmless Prime Polymers and ARC Polymers Ltd, and its officers, directors, employees and agents, from and against any and all claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) any Listing, Wanted post, content or information you post; (b) any dealing, negotiation, contract or dispute between you and any other user, including any claim that goods were not as described, defective, unsafe, not owned by the seller, or not paid for; (c) your breach of these Terms; (d) your breach of any applicable law, including laws relating to title, sanctions, export control or product safety; or (e) any personal data you receive through the Platform.
• —You acknowledge that Prime Polymers is not a party to any trade and shall not be liable for any loss, cost or claim arising from it, and that responsibility for such matters rests solely with the buyer and seller concerned.

• —The Platform, and all intellectual property in it (excluding user content), belongs to us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose during your use.
• —You retain ownership of content you post, but grant us a worldwide, royalty-free licence to host, display, reproduce and distribute it on and in connection with the Platform, including in match and search results.

• —ARC Polymers Ltd is the data controller for personal data we process about you in operating the Platform, and is registered with the UK Information Commissioner's Office (ICO registration number [ICO NUMBER]). We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and our Privacy Policy, which forms part of these Terms.
• —Our lawful bases for processing include the performance of our contract with you (to provide the Platform) and our legitimate interests in operating, securing and improving the Platform. You have rights under the UK GDPR, including rights of access, rectification, erasure and objection, as described in our Privacy Policy.
• —IMPORTANT — user-to-user data. When you contact, or are contacted by, another user, you may receive personal data about them (such as name, business and contact details). Where you use that data for your own purposes, you act as an independent data controller and are solely responsible for your own compliance with data-protection law in respect of it. You must use it only for a bona fide dealing arising from the Platform, and not for marketing, resale or any unlawful purpose. We are not responsible for how any other user handles personal data they receive through the Platform.

• —We may suspend, restrict or terminate your access to the Platform, remove content, or withdraw the Platform (in whole or part) at any time, with or without notice, including for breach of these Terms or to comply with law.
• —We may amend these Terms from time to time by posting the updated version. Your continued use after changes take effect constitutes acceptance. We may amend fees on reasonable notice.

• —These Terms constitute the entire agreement between you and us regarding the Platform and supersede any prior understanding. Nothing in them creates any partnership, agency, joint venture or employment between us.
• —If any provision is held unenforceable, the remainder shall continue in effect. Our failure to enforce any right is not a waiver of it.
• —A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

• —These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
